A start-up lawyer in Ra'anana, from first idea to investment

Liron Segev is a start-up lawyer in Ra'anana who works with founders from the idea stage through incorporation and fundraising, and with technology companies at every later stage: private and public companies and multinationals.

She served for many years as Legal and General Counsel at hi-tech and international companies, and represented technology companies in international and capital markets transactions. She knows from the inside the questions founders and investors ask.

It pays to talk to a lawyer as soon as there is an idea and a co-founder: decisions such as the share split stay with the company for years.

Frequently asked questions

When do we need a founders agreement?

As early as possible, once there is an idea and a co-founder, even if the company will only be incorporated later. It covers the share split, roles and what happens down the road, while agreement is still easy.

How is a founders agreement different from the articles of association?

The founders agreement is a contract between the founders. The articles set the company's rules and can adopt its terms if agreed. Some Companies Law provisions are mandatory; others can be varied in the articles.

What are tag-along and drag-along rights?

A tag-along usually protects a minority shareholder: if another shareholder sells, the minority can join the sale pro rata. A drag-along works the other way: when a major shareholder sells everything and the buyer wants the whole company, the others must sell too, on the agreed terms.

What is needed to incorporate a company in Israel?

Among other things: articles of association, a declaration by the initial shareholders and details of the first directors. The application is filed with the Registrar of Companies. It helps to prepare the founders agreement first, so the articles can reflect it.
